Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website at joustagency.com (the "Site") and any related services provided by Joust Agency ("Joust," "we," "our," or "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not use the Site.

Services

Joust provides technology consulting services, including the AI Operations Audit. The Site also offers informational resources and interactive tools such as the ROI Calculator. Our consulting engagements are governed by separate service agreements executed between Joust and the client.

ROI Calculator

The ROI Calculator is provided as a free, informational tool to help prospective clients estimate potential savings from AI automation. All projections generated by the calculator are estimates only and should not be interpreted as guarantees of specific results. Actual outcomes will vary based on company-specific factors, implementation scope, and market conditions.

Data entered into the ROI Calculator is processed locally in your browser and is not stored on Joust servers unless you separately submit a contact form. You may download your results as a PDF, which is generated locally.

Acceptable Use

You agree to use the Site only for lawful purposes and in compliance with these Terms. You agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems
• Use automated tools (bots, scrapers, crawlers) to extract content or data from the Site without our written permission
• Transmit malicious code, viruses, or any material that could harm the Site or other users
• Misrepresent your identity or affiliation when submitting information

Intellectual Property

All content on the Site, including text, graphics, logos, icons, images, design elements, and software, is the property of Joust Agency or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, display, or create derivative works from any content on the Site without our prior written consent. Limited use for personal, non-commercial reference is permitted.

Client Engagements

Consulting services, including the AI Operations Audit, are subject to separate engagement agreements that define scope, deliverables, timelines, fees, and confidentiality obligations. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement will control.

Confidentiality

If you share confidential business information with us through the Site (via contact forms, the ROI Calculator, or otherwise), we will treat it with reasonable care. However, information submitted through public-facing web forms may not be fully secure. For sensitive business information, we recommend discussing confidentiality protections with us directly before sharing.

Disclaimers

The Site and all content, tools, and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. Joust disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. ROI Calculator projections and any other estimates provided on the Site are for informational purposes only and do not constitute professional advice or guaranteed outcomes.

Limitation of Liability

To the maximum extent permitted by applicable law, Joust Agency and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to the Site shall not exceed the amount you have paid to Joust for services in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Joust Agency and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Site, violation of these Terms, or infringement of any rights of a third party.

Third-Party Links

The Site may contain links to third-party websites or services. Joust does not control and is not responsible for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and policies of any third-party sites you visit.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
